The Management Board of VIGO Photonics Spółka Akcyjna based in Ożarów Mazowiecki (the "Company") hereby informs that on September 9, 2026, the Company received a request (hereinafter referred to as the "Request") from a Shareholder of the Company: Towarzystwo Funduszy Inwestycyjnych PZU S.A. with its registered office in Warsaw, holding more than one-twentieth of the Company's share capital, pursuant to Article 400 § 1 and § 2 of the Act of September 15, 2000 – Commercial Companies Code, to convene an Extraordinary General Meeting (the "EGM") of the Company with the following agenda:
- Opening of the Extraordinary General Meeting.
- Election of the Chairman of the Extraordinary General Meeting.
- Confirmation of the correctness of convening the Extraordinary General Meeting and its capacity to adopt resolutions.
- Adoption of the agenda.
- Election of the Ballot Counting Committee.
- Adoption of resolutions regarding changes to the Supervisory Board.
- Adoption of a resolution on bearing the costs of convening and holding the Extraordinary General Meeting.
- Closing of the Extraordinary General Meeting.
The text of the draft resolutions regarding item 6 of the proposed agenda, together with the letter constituting the request, is attached to this report.
After a detailed review of the content of the Request and the attached documents, the Management Board of the Company will take steps within the statutory deadline to fulfill the request contained in the Request.
The Management Board of the Company considers this information to be material due to its potential significance for the Company and its Shareholders, in connection with its potential impact on the valuation of the Company's financial instruments traded on the regulated market of the Warsaw Stock Exchange, which justifies qualifying this information as inside information within the meaning of Article 17(1) of MAR.
